Terms of Use

Please read these Terms of Use (hereinafter "Terms") carefully before using the TourneyMate application or website (hereinafter "Application" or "App") operated by TourneyMate, LLC (hereinafter, "us", "we", or "our").

By accessing or using the Application, you agree to be bound by these Terms. If you disagree with any part of the terms, then you may not access this Application.

1. Use of Application

You must be at least 13 years old to use this Application. We do not knowingly collect or solicit personal information from children under 13. If we learn we have collected personal data from a child under 13, we will delete it promptly.

By using the App, you represent and warrant that you meet the eligibility requirements.

You agree not to:

  • Violate any applicable laws or regulations.
  • Use the App for unlawful, fraudulent, or harmful purpose.
  • Interfere with or disrupt the operation or security of the app.
  • Upload, transmit, or distribute any content that is abusive, harassing, defamatory, obscene, infringing, or otherwise objectionable.
  • Impersonate any person or entity or misrepresent your affiliation with a person or entity.
  • Engage in conduct that negatively impacts the experience of other users or damages our reputation.

2. User Accounts

If you create an account with us, you must provide accurate and complete information. You are responsible for safeguarding your password and for any activities under your account.

We reserve the right to suspend or terminate your account if it is deemed inappropriate, offensive, or in violation of these Terms.

3. Intellectual Property

All content, features, and functionality of the app, including but not limited to text, graphics, logos, and software, are the property of TourneyMate, LLC, and are protected by copyright, trademark rights, patent rights and design rights are subject to the protection granted by applicable laws or international treaties relating to intellectual property.

All trademarks – nominal or figurative – and al other marks, trade names, service marks illustrations, images, or logos appearing in connection with this App are, and remain, the exclusive property of TourneyMate, LLC, or its licensors and are subject to the protection granted by applicable laws or international treaties related to intellectual property.

You may not copy, modify, distribute, sell, or lease any part of our App or included content without our prior written consent, except as otherwise permitted by law.

4. Payments and Refunds

Some features may require payment. Payments are processed through Stripe and are subject to their terms and conditions.

  • By making a payment, you agree to Stripe's policies.
  • You are responsible for all taxes and fees associated with paid features and tournaments.
  • Refunds for tournaments are up to the discretion of the club organizer and are subject to Stripes' refund policy.
  • TourneyMate's Service Fee is non-refundable.

5. Access to External Resources

Through this Application, you may have access to external resources provided by third parties. You acknowledge that we are not responsible for the availability, accuracy, or content of such third-party services. Use of third-party services is at your own risk and may be subject to separate terms of use and privacy policies.

6. Communications

By creating an account, you consent to receive service-related communication from us, which may include emails, in-app messages, and push notifications. You may opt out of marketing communications at any time, but you may not opt out of important service-related notices.

7. Privacy

Your privacy is important to us. Please review our Privacy Policy to understand how we collect, use, and protect your information.

8. Termination

We may terminate or suspend access to the App immediately, without prior notice or liability, for any reason, including if you breach the Terms.

Upon termination, your right to use the app will immediately cease.

9. Disclaimer of Warranties

The app is provided on an "AS IS" and "AVAILABLE" basis. We do not guarantee that the app will be error free or uninterrupted. Use of the App is at the user's own risk.

To the maximum extent permitted by applicable law, we expressly disclaim all conditions, representations, and warranties – whether express, implied, statutory, or otherwise, including, but not limited to, any implied warranty of merchantability, fitness for a particular purpose, or non-infringement of third-party rights.

Any content downloaded or otherwise obtained using the App is downloaded at users own risk and users shall be solely responsible for any loss of data that results from such download or user's use of the App. We do not warrant, endorse, guarantee, or assume responsibility for any product or service advertised or offered by a third party through the App or any hyperlinked website or service, and we shall not be a party to or in any way monitor any transaction between users and third-party providers of products or services.

10. Limitations of Liability

To the maximum extent permitted by applicable law, in no event shall we be liable for:

  • Any indirect, punitive, incidental, special, consequential or exemplary damages, including without limitation damages for loss of profits, goodwill, use, data or other intangible losses, arising out of or relating to the use of, or inability to use, the App; and
  • Any damage, loss or injury resulting for hacking, tampering, or other unauthorized access or use of the App or user account or the information contained therein.
  • Any errors, mistakes, or inaccuracies of content.
  • Personal injury or property damage, of any nature whatsoever, resulting from user access to or use of the App.
  • Any unauthorized access to or use of the TourneyMate's secure servers and/or any and all personal information stored therein.
  • Any interruption or cessation of transmission to or from the Service.
  • Any bugs, viruses, trojan horses, or the like that may be transmitted to or through the App.
  • Any errors or omissions in any content or for any loss or damage incurred because of the use of any content posted, emailed, transmitted, or otherwise made available through the App; and/or
  • The defamatory, offensive, or illegal conduct of any user or third party. In no event shall TourneyMate, LLC, partners, suppliers, and employees be liable for any claims, proceedings, liabilities, obligations, damages, losses or costs in any amount.

11. Indemnification

You agree to defend, indemnify and hold TourneyMate, LLC, and its partners, suppliers harmless from and against any claims or demands, damages, obligations, losses, liabilities, costs or debt, and expenses, including, but not limited to, legal fees and expenses, arising from:

  • Your use of an access to the App, including any data or content transmitted or received by you;
  • Your violation of these terms, including, but not limited to:
    • Your breach of any of the representations and warranties set forth in these terms;
    • Your violation of any third-party rights, including, but not limited to, any right of privacy or intellectual property rights;
    • Your violation of any statutory law, rule, or regulation;
    • Any content that is submitted from your account, including third party access with your unique username, password or other security measure, if applicable, including, but not limited to, misleading, false, or inaccurate information;
    • Your willful misconduct; or
    • Statutory provision by you or its affiliates, officers, directors, agents, co-branders, partners, suppliers, and employees to the extent allowed by applicable law.

12. Governing Law

These Terms shall be governed and construed in accordance with the laws of the State of Georgia, without regard to its conflict of law provisions.

13. Force Majeure

We are not liable for any failure or delay in performance caused by events outside our reasonable control, including natural disasters, strikes, internet outages, or government actions.

14. Severability

Should any provision of these Terms be deemed or become invalid or unenforceable under applicable law, the invalidity or unenforceability of such provisions shall not affect the validity of the remaining provisions, which shall remain in full force and effect.

15. Changes to Terms

We reserve the right to modify or replace these Terms at any time. We will notify you of material changes via app or email. Your continued use after changes are posted constitutes acceptance of those changes. If you do not wish to be bound by the changes, they must stop using the App.
